1. Chief Financial Officer (CFO)

  • Qualifications:

    • Chartered Accountant (CA)
    • Member of a recognized professional accounting body
    • Alternatively, a Master’s in Business Administration (MBA), Commerce, or a Law degree from a Higher Education Commission-recognized institution
  • Experience: Minimum 10 years of post-qualification experience in finance

  • Age Limit: 50 years

  • Key Responsibilities:

    • Develop financial strategies for sustainability and compliance
    • Lead and mentor the finance team to enhance productivity
    • Create budgets in collaboration with other departments
    • Oversee all accounting and financial functions
    • Ensure accurate financial records and timely financial reporting
    • Implement internal controls to ensure efficient fund utilization and audit readiness
    • Monitor cash flow to support ongoing operations
    • Identify and pursue cost-saving and investment opportunities
    • Stay informed on financial regulations to ensure ongoing compliance
    • Prepare financial forecasts and trend analyses
    • Manage payroll, banking, and asset accounting
    • Coordinate with auditors and stakeholders for financial transparency
    • Report financial risks to the CEO and Board, providing strategic financial advice

2. Company Secretary

  • Qualifications:

    • Member of a recognized professional accounting body, corporate secretary body, or chartered secretaries body
    • Alternatively, a Master's in Business Administration, Commerce, or a Law degree
  • Experience: Minimum 10 years of relevant experience; previous experience in a similar role is preferred

  • Age Limit: 50 years

  • Key Responsibilities:

    • Organize, prepare agendas, and take minutes for Board and Annual General Meetings (AGMs)
    • Coordinate and attend Board and Committee Meetings, drafting accurate minutes
    • Act as liaison among Directors, officers, and shareholders
    • Ensure the company meets all regulatory requirements and maintains key corporate documents
    • Manage statutory books, including registers of members, directors, and secretaries
    • Facilitate communication and compliance with legal and governance policies
    • Monitor changes in legislation and the regulatory environment, implementing necessary updates
    • Engage with external advisors and regulators, ensuring legal and statutory compliance
    • Oversee the compliance system to adhere to all relevant codes
