Position: Company Secretary
About PMDC:
Pakistan Mineral Development Corporation (PMDC) is a state-owned enterprise operating under the Ministry of Energy, Petroleum Division, Government of Pakistan. PMDC is responsible for the exploration, mining, and marketing of various minerals.
PMDC is inviting applications for the position of Company Secretary on a three-year contract basis with a market-competitive package.
Qualification:
The candidate must meet one of the following criteria:
- Member of a recognized body of professional accountants.
- Member of a recognized body of corporate or chartered secretaries.
- Master’s degree in Business Administration, Finance, Commerce, Law, or equivalent qualification from an HEC-recognized university.
The candidate must also fulfill the fit and proper criteria under the State-Owned Enterprises (Governance and Operations) Act, 2023.
Experience:
- A minimum of 10 years of post-qualification experience.
- At least 5 years as a Company Secretary with expertise in:
- Corporate governance.
- Regulatory compliance.
- Company secretarial practices.
Age Limit:
- Maximum 50 years as of the closing date of applications.
Key Job Responsibilities:

Regulatory Compliance:
- Ensure compliance with statutory obligations, including the Companies Act, 2017, and SOE governance frameworks.

Board and Committee Management:
- Organize and manage Board of Directors (BoD) and committee meetings.
- Prepare and distribute agendas, minutes, and follow-ups.

Liaison Role:
- Act as a bridge between the BoD, management, and stakeholders.

Corporate Record Management:
- Maintain statutory records, filings, and documents as per legal requirements.

Legal and Administrative Support:
- Provide advice on corporate governance issues and legal/regulatory matters.
- Ensure accurate corporate information is submitted to relevant authorities.
Additional Requirements:
- Strong communication, organizational, and interpersonal skills.
- Proficiency in legal drafting and corporate documentation.
- High integrity, professionalism, and commitment to transparency.
